The terms that apply when using SpoolUp services, website content and marketplace features.
Terms of Use
These Terms of Use explain the rules that apply when you access or use the SpoolUp website, platform, marketplace, customer portal, content, tools, forms, communications and related services.
By using SpoolUp, you agree to these Terms of Use. If you do not agree to these terms, you must not use the website, platform or services.
These Terms of Use should be read alongside our Privacy Policy and Cookie Policy.
1. About SpoolUp
SpoolUp provides an online platform and related services for aviation asset visibility, marketplace listings, customer communications, document review, technical information management and other aviation-related support services.
Unless stated otherwise in a separate written agreement, SpoolUp acts as a platform, information provider and service facilitator. SpoolUp does not automatically act as the seller, buyer, broker, agent, inspector, certifying authority, maintenance provider, regulatory adviser or legal adviser for any asset, listing, transaction or user.
References to "SpoolUp", "we", "us" or "our" mean the operator of the SpoolUp website and platform. References to "you" or "your" mean the person, business or organisation accessing or using SpoolUp.
2. Scope of these terms
These terms apply to your use of:
- the SpoolUp website;
- the SpoolUp platform and customer portal;
- marketplace listings and listing enquiries;
- asset information, technical summaries and document information;
- forms, downloads, reports, dashboards and user accounts;
- communications sent through or in connection with SpoolUp;
- any other online services, tools or features made available by SpoolUp.
If you enter into a separate signed agreement with SpoolUp, that agreement may contain additional or different terms. If there is a conflict between these Terms of Use and a signed agreement, the signed agreement will take priority for the specific services covered by that agreement.
3. Changes to these terms
We may update these Terms of Use from time to time. Changes may be made to reflect updates to our services, platform features, legal requirements, security practices or business processes.
The latest version of these terms will be made available on our website. Your continued use of SpoolUp after updated terms are published means that you accept the updated terms.
4. Eligibility and authority
You must only use SpoolUp if you are legally able to do so and if your use complies with all applicable laws and regulations.
If you use SpoolUp on behalf of a company, employer, customer, asset owner, buyer, seller, broker, consultant or other organisation, you confirm that you have authority to act on behalf of that organisation and to bind it to these terms.
You must not use SpoolUp if you are prohibited from doing so by law, sanctions restrictions, export control rules, contractual obligations or any other applicable restriction.
5. Account registration and security
Some areas of SpoolUp may require an account. You must provide accurate, current and complete account information.
You are responsible for keeping your login details secure. You must not share your password, allow unauthorised access, or permit another person to use your account unless we have expressly allowed this.
You must notify us promptly if you believe your account has been accessed without permission or if your login details have been compromised.
We may require password resets, additional verification or temporary access restrictions where we reasonably believe this is necessary to protect the platform, our users, our business or third parties.
6. Platform access
Access to SpoolUp is provided at our discretion. We may modify, suspend, restrict or withdraw access to all or part of the website, platform or services at any time where we consider this reasonably necessary.
We may remove, suspend or restrict access without notice where we believe there is a security risk, abuse, misuse, unlawful activity, non-payment, false information, suspected fraud, breach of these terms, breach of another agreement, operational risk, reputational risk, legal risk or risk to another user.
We are not responsible for any loss arising from temporary unavailability, planned maintenance, emergency maintenance, technical errors, third-party service failures, hosting issues, internet disruption or events outside our reasonable control.
7. Acceptable use
You must use SpoolUp responsibly, lawfully and professionally.
You must not:
- use SpoolUp for unlawful, fraudulent, misleading or harmful purposes;
- submit false, inaccurate, incomplete or misleading information;
- impersonate another person, company or organisation;
- misrepresent your authority to act for an asset owner, buyer, seller, broker or organisation;
- upload malware, viruses, harmful code or unsafe files;
- attempt to gain unauthorised access to any account, system, server, database or restricted area;
- attempt to bypass security controls, access controls, rate limits or authentication systems;
- scrape, copy, harvest, extract or reuse platform data without permission;
- use automated bots, crawlers, scripts or scraping tools without written approval;
- interfere with the operation, performance or security of the platform;
- send spam, unsolicited messages or inappropriate commercial communications;
- upload or transmit content that infringes intellectual property rights or confidentiality obligations;
- upload confidential, controlled, restricted or third-party information without permission;
- use SpoolUp to facilitate prohibited, sanctioned, restricted or unlawful transactions;
- use SpoolUp in a way that damages our reputation, services, users or commercial relationships.
8. Abuse, harassment and unacceptable conduct
We do not tolerate abusive, threatening, aggressive, discriminatory, offensive, harassing, exploitative or harmful behaviour towards SpoolUp, our team, our users, our partners or any third party.
Unacceptable conduct includes:
- threats, intimidation or aggressive communication;
- harassment, bullying or repeated unwanted contact;
- discriminatory, hateful or offensive language;
- attempts to pressure, mislead or manipulate users;
- abuse of forms, enquiry tools, messaging systems or support channels;
- knowingly submitting false reports, false enquiries or malicious complaints;
- attempting to disrupt transactions, listings, platform services or business operations.
We reserve the right to remove content, restrict communications, block enquiries, suspend accounts, terminate access, refuse service, report conduct to relevant authorities, or take legal action where we believe abuse or unacceptable conduct has occurred.
9. Marketplace and listing information
SpoolUp may display marketplace listings, asset details, availability information, technical summaries, document references, images, pricing indications, location information and related data.
Unless expressly stated otherwise, marketplace listings and asset information are provided for general information and enquiry purposes only. They do not constitute a binding offer, guarantee, certification, valuation, recommendation, legal opinion, technical approval or airworthiness determination.
Asset availability, pricing, condition, location, certification status, documentation, ownership status and transaction terms may change without notice.
You must carry out your own due diligence before relying on any listing, entering into a transaction, making a purchase decision, arranging inspection, making payment, transporting an asset, installing an asset or using any component.
10. Aviation asset information and technical limitations
Aviation asset information can be complex, technical and dependent on source documentation. While SpoolUp may assist with collecting, displaying, reviewing or summarising information, we do not guarantee that any asset information is complete, accurate, current, compliant, approved, certified or suitable for a particular purpose.
You are responsible for verifying:
- asset identity, model, serial number and part number;
- ownership and title;
- maintenance status and service history;
- airworthiness status;
- certification, release documentation and traceability;
- life limits, cycles, hours and remaining life;
- log books, shop visit records and operator history;
- export, import, customs and sanctions requirements;
- suitability for intended aircraft, project, operation or jurisdiction.
SpoolUp does not replace independent technical inspection, legal advice, regulatory review, quality assurance, records audit, airworthiness assessment, engineering review or commercial due diligence.
11. User-submitted content and information
You may submit information, documents, images, data, messages, listings, descriptions, reports, enquiries or other content to SpoolUp.
You confirm that any content you submit:
- is accurate to the best of your knowledge;
- is not misleading, fraudulent or unlawful;
- does not infringe third-party rights;
- does not breach confidentiality obligations;
- does not contain malware, harmful code or unsafe files;
- may lawfully be shared with SpoolUp for the relevant purpose.
You remain responsible for the content you submit. We may review, edit, reject, remove, restrict, archive or delete user-submitted content where we consider this necessary for accuracy, safety, quality, legal compliance, platform operation or user protection.
12. Permission to use submitted content
By submitting content to SpoolUp, you grant us permission to use, store, process, copy, display, transmit, format and share that content as reasonably necessary to operate the platform, provide services, manage listings, respond to enquiries, support transactions, maintain records, comply with law and protect our legitimate interests.
This permission does not transfer ownership of your content to SpoolUp. However, it allows us to use the content for the purposes connected with the platform and services.
13. Confidentiality
You must not upload, disclose or share confidential information through SpoolUp unless you have the right to do so and unless it is appropriate for the relevant service, listing, enquiry or transaction.
We will take reasonable steps to protect confidential information submitted to us, but you acknowledge that online systems, email communications and third-party infrastructure carry inherent security risks.
Confidentiality obligations may be supplemented by a separate non-disclosure agreement or written contract where appropriate.
14. Compliance, export controls and sanctions
You are responsible for ensuring that your use of SpoolUp, your enquiries, your listings, your transactions and your handling of aviation assets comply with all applicable laws, regulations, trade controls, export controls, import controls, customs rules, sanctions restrictions and aviation requirements.
You must not use SpoolUp to facilitate any transaction, communication, transfer, export, sale or service that would breach sanctions, export controls, aviation regulations or applicable law.
We may refuse, suspend, cancel or report any activity where we believe there is a compliance, sanctions, export control, fraud, safety or legal risk.
15. Enquiries and communications
When you submit an enquiry through SpoolUp, you authorise us to use the information provided to respond to your enquiry, manage platform communications, contact relevant parties, assess service requirements and maintain business records.
We are not responsible for any agreement, representation, statement, negotiation, payment, inspection, transaction or dispute between users unless we have expressly accepted responsibility in a separate written agreement.
You must ensure that all communications sent through or in connection with SpoolUp are accurate, professional, lawful and not misleading.
16. Payments, fees and subscriptions
Some SpoolUp services may be free, while others may require payment, subscription, commission, service fees or a separate agreement.
Where fees apply, they will be stated separately or agreed with you before the relevant paid service is provided.
You must pay all agreed fees when due. We may suspend or restrict access to paid services if payment is overdue, disputed without reasonable basis, reversed, cancelled or not received.
Fees are exclusive of VAT or applicable taxes unless stated otherwise.
17. Third-party services and links
SpoolUp may contain links to third-party websites, embedded content, third-party tools, payment providers, analytics services, communication tools, map services, video platforms or other external services.
Third-party services are provided by their own operators and may be subject to separate terms, privacy policies and cookie policies.
We are not responsible for third-party websites, services, content, availability, security, accuracy or practices.
18. Intellectual property
The SpoolUp website, platform, design, branding, logo, layout, software, code, graphics, text, reports, templates, databases, workflows, tools and other materials are owned by or licensed to SpoolUp unless stated otherwise.
You may use SpoolUp only for your own lawful business or personal purposes in accordance with these terms.
You must not copy, reproduce, modify, reverse engineer, scrape, sell, licence, distribute, republish or commercially exploit any part of SpoolUp without our prior written permission.
19. Platform data and restrictions
You must not use SpoolUp data to create, train, populate, support or improve a competing platform, database, marketplace, directory, analytics service, artificial intelligence model or commercial product without our written permission.
You must not systematically extract or reuse substantial parts of the platform, listings, documents, pricing information, technical data, user data or database content.
20. Service availability and changes
We may update, improve, modify, suspend, replace or discontinue any part of SpoolUp at any time.
We do not guarantee that the website, platform or services will always be available, uninterrupted, secure, error-free or compatible with every device, browser, system or integration.
We may carry out maintenance, security updates, technical changes or emergency work without notice.
21. No professional advice
Information made available through SpoolUp is provided for general information and business support purposes only.
Nothing on SpoolUp should be treated as legal advice, financial advice, tax advice, technical certification, airworthiness approval, engineering approval, regulatory advice, insurance advice or investment advice.
You should obtain appropriate professional advice before making decisions based on information available through SpoolUp.
22. No warranty
SpoolUp is provided on an "as is" and "as available" basis.
We make reasonable efforts to provide useful, accurate and reliable services, but we do not guarantee that:
- the platform will be uninterrupted or error-free;
- all information will be complete, accurate or current;
- all listings will remain available;
- all assets will match their descriptions;
- all documents will be complete, valid or sufficient;
- any transaction will complete;
- any asset will be suitable for your intended use;
- the platform will meet your specific requirements.
23. Limitation of liability
Nothing in these Terms of Use excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, SpoolUp will not be liable for:
- loss of profit, revenue, business or opportunity;
- loss of goodwill or reputation;
- loss of data or information;
- business interruption;
- loss caused by inaccurate, incomplete or outdated user-submitted information;
- loss caused by reliance on marketplace listings or asset information without independent verification;
- loss caused by third-party services, websites, systems or providers;
- indirect, consequential or special loss;
- loss arising from unauthorised account access where you failed to keep login details secure;
- loss arising from suspension, restriction or termination of access carried out in accordance with these terms.
Where liability cannot be excluded, our liability will be limited to the maximum extent permitted by law.
24. Indemnity
You agree to indemnify and hold SpoolUp harmless against claims, losses, damages, costs, expenses, liabilities and legal fees arising from:
- your breach of these Terms of Use;
- your misuse of SpoolUp;
- content or information you submit;
- your breach of law, regulation, sanctions requirements or export controls;
- your infringement of third-party rights;
- your unauthorised disclosure of confidential information;
- your dealings, transactions or disputes with another user or third party.
25. Suspension and termination
We reserve the right to suspend, restrict, disable, terminate or remove your access to SpoolUp, in whole or in part, where we reasonably believe that:
- you have breached these Terms of Use;
- you have provided false, incomplete or misleading information;
- you have engaged in abuse, harassment or unacceptable conduct;
- your account has been compromised or used without authorisation;
- your use creates a security, legal, operational, regulatory or reputational risk;
- you have failed to pay agreed fees;
- you are using the platform for unlawful, fraudulent or restricted activity;
- continued access could harm SpoolUp, another user or a third party.
We may remove or archive listings, documents, enquiries, messages, uploads or account content where reasonably necessary to protect the platform, comply with law, maintain data quality, prevent abuse or enforce these terms.
Termination or suspension does not affect any rights, obligations, fees, liabilities or remedies that have already arisen.
26. Reporting misuse
If you become aware of misuse, false listings, suspected fraud, abusive conduct, security issues, unauthorised access or unlawful activity connected with SpoolUp, please contact us promptly.
We may investigate reports of misuse, but we are not required to disclose the outcome of investigations or take any specific action unless legally required.
27. Privacy and cookies
We process personal information in accordance with our Privacy Policy. We use cookies and similar technologies in accordance with our Cookie Policy.
By using SpoolUp, you acknowledge that personal information may be processed for account management, enquiries, platform operation, security, service delivery, communication, legal compliance and legitimate business purposes.
28. Force majeure
We will not be responsible for delay or failure to perform our obligations where this is caused by events outside our reasonable control.
This may include internet outages, hosting failures, cyber incidents, power failures, supplier disruption, regulatory changes, natural events, war, terrorism, industrial disputes, government action, pandemic, transport disruption or other events beyond our reasonable control.
29. Transfer of rights
You may not transfer, assign or delegate your rights or obligations under these terms without our prior written permission.
We may transfer, assign or subcontract our rights and obligations where this is reasonably necessary for business operations, restructuring, sale of business, service delivery or legal compliance.
30. Severability
If any part of these Terms of Use is found to be invalid, unlawful or unenforceable, that part will be treated as removed or limited to the minimum extent necessary. The remaining parts will continue to apply.
31. No waiver
If we do not enforce a right immediately, this does not mean that we have waived that right. We may still enforce it later.
32. Governing law and jurisdiction
These Terms of Use are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with these Terms of Use, unless applicable law requires otherwise.
